This document governs the relationship between General Cognitions (“General Cognitions”, “we”, “us”) and the entity (“Customer”, “you”) that accesses or operates the platform. By engaging the service, you accept these terms in full. If you do not accept them, do not engage the service.
These terms form a binding agreement between you and General Cognitions on the earlier of: (a) execution of an order form referencing this document; or (b) any access to or use of the platform, the digital twin, or the agents.
The platform comprises a data-ingestion layer, a digital-twin model of your IT estate, an execution environment for autonomous agents, and the agents themselves. The agents plan, rehearse, and dispatch changes through the integrated systems you authorise.
We may modify, extend, or retire components of the platform with reasonable notice. Where a change reduces material functionality of an active subscription, we will provide written notice and a remediation path.
You are responsible for credentials issued to your operators, for the scope of permissions granted to agents acting on your behalf, and for the actions of any third party authorised through your account. Multi-factor authentication is mandatory for all operator accounts.
You will not, and will not permit any operator or agent to:
Estate telemetry, configuration, and operational data ingested by the platform (“Customer Data”) belongs to you. We process Customer Data solely to operate the service, maintain the digital twin, and execute changes you authorise.
We do not sell Customer Data. We do not use Customer Data to train foundation models without explicit, written, opt-in consent. Sub-processors are listed in our Privacy Policy.
Fees are set on the order form. Unless otherwise stated, fees are quoted in USD, invoiced annually in advance, and payable net thirty days. Late balances accrue at one-and-a-half percent per month or the maximum permitted by law, whichever is lower.
General Cognitions retains all right, title, and interest in the platform, including the agent runtime, the twin substrate, and the connector matrix. You retain all right, title, and interest in your Customer Data and your IT estate. We grant you a non-exclusive, non-transferable licence to use the platform for the term of your subscription.
We warrant that the platform will perform substantially in accordance with the documentation. Except as expressly stated, the platform is provided “as is” without warranty of any kind, whether express, implied, or statutory. We do not warrant that the platform will be uninterrupted or error-free.
To the maximum extent permitted by law, neither party will be liable for indirect, consequential, or punitive damages. Each party’s aggregate liability arising out of or related to this agreement will not exceed the fees paid or payable by Customer in the twelve months preceding the claim.
Either party may terminate for material breach not cured within thirty days of written notice. On termination, agents are revoked, the twin is decommissioned, and Customer Data is exported and then destroyed in accordance with the retention schedule.
These terms are governed by the laws of the State of Delaware, without regard to conflicts-of-laws principles. The state and federal courts located in New Castle County, Delaware have exclusive jurisdiction over disputes arising under this agreement.
